Vendor Terms and Conditions

1. Acceptance of Terms

By registering as a Provider on FlashTask, you agree to be bound by these Vendor Terms and Conditions ("Vendor Terms"). If you do not agree, please do not register or use our platform.

2. Vendor Registration and Eligibility

To register as a Vendor, you must:

Be a legally registered business or individual operating in the US

Hold all necessary licences, permits, and insurance required to perform your services

Provide accurate and complete registration information

Be at least 18 years of age

3. Service Delivery Obligations

You agree to:

Maintain all necessary licences, permits, and insurance required to perform your services

Respond promptly to customer inquiries and fulfil orders in a timely and professional manner

Ensure that any AI tools or automated systems used in your services comply with our AI Ethical Use Policy

3.1. Sole Responsibility for Service Delivery

You acknowledge and agree that the delivery of the service, including its quality, safety, and fitness for purpose, is your sole and exclusive responsibility. Flashtask.ai acts merely as a facilitator connecting you with customers and assumes no responsibility for the actual performance of the services.

3.2. Health, Safety, and Damages

You are strictly liable for any and all health and safety issues, accidents, injuries, or property damage that may arise during or as a result of your service delivery. You agree to bear full responsibility for any claims, losses, or damages resulting from your services.

4. Fees and Payments

Flashtask.ai may charge fees or commissions for transactions processed through the platform. All payments to Vendors for completed services will be processed and disbursed on a monthly basis through our designated payment gateways.

5. Intellectual Property

You retain ownership of your intellectual property. By listing on Flashtask.ai, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and promote your content for platform operations and marketing.

6. Confidentiality and Non-Solicitation

You agree to keep confidential any information regarding FlashTask, its customers, or other providers. You agree not to directly or indirectly solicit any customer of FlashTask for services outside of the platform. Any violation of this non-solicitation clause will result in an immediate penalty of $10,000 per violation, payable to American Professionals United Inc.

7. Termination

We may suspend or terminate your Vendor account at any time, with or without cause, upon written notice. Upon termination, you must complete any outstanding orders and cease using the platform.

8. Limitation of Liability and Indemnification

To the maximum extent permitted by law, American Professionals United Inc. assumes no liability whatsoever for any damages arising out of your use of the platform or your provision of services. You agree to indemnify and hold harmless American Professionals United Inc. from any claims arising out of your services or your violation of these Provider Terms.

9. Customer Complaints and Refunds

If a customer raises a complaint in good faith regarding the quality, completeness, or delivery of your service, you agree to work in good faith to resolve the issue. FlashTask reserves the right to mediate disputes at its sole discretion.

10. Governing Law and Dispute Resolution

These Provider Terms shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Los Angeles County, California.

11. Amendments

We reserve the right to modify these Vendor Terms at any time. Your continued use of the platform after such changes constitutes your acceptance of the revised Vendor Terms.
